1. Acceptance

By using the Vertex Services Inc. website (vertexservicesinc.com) or our recruiting services, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, please do not use the site. “Vertex,” “we,” and “us” mean Vertex Services Inc., based in Toronto, Ontario, Canada.

2. Our Services

Vertex is a staffing and recruitment company. We connect job seekers (“candidates”) with employers (“clients”). Placement terms, fees, and guarantees for employers are set out in a separate written agreement, which prevails over these Terms if the two conflict.

3. No Guarantee

We do not guarantee that any candidate will be offered a role, or that any client will find or hire a suitable candidate. Job postings and candidate profiles are provided for information and may change or be withdrawn without notice. We do not guarantee accuracy or completeness of information supplied by candidates or clients, and each party is responsible for its own hiring or employment decisions.

4. Candidates

By submitting a resume or application, you confirm: information you give is accurate, complete, and your own; you are legally entitled to work for the roles you apply to, or will tell us if you are not; you consent to us handling your information as described in our Privacy Policy. We share your information with a prospective employer only with your explicit consent for that employer or role. We may decline or remove any submission at our discretion.

5. Employers and Clients

By contacting us or requesting candidates, you confirm you are authorized to act for your organization and will use candidate information only to assess candidates for the role discussed. You must not store, share, or reuse candidate information for other purposes, and you must comply with applicable employment, human rights, and privacy laws. Jobs are posted by Vertex staff on the employer’s behalf. Employers cannot post jobs directly.

6. Accounts

Accounts. If you create a candidate account, you are responsible for keeping your login details confidential and for all activity under your account. Tell us promptly at info@vertexservicesinc.com if you suspect unauthorized use. We may suspend or close accounts that are inactive, inaccurate, or in breach of these Terms. You can ask us to delete your account at any time.

7. Acceptable Use

You agree not to: submit false, misleading, or unlawful content, or content that infringes anyone’s rights; impersonate any person or organization; use the site to send spam or unsolicited commercial messages; scrape, copy, or collect data from the site by automated means without our written permission; attempt to disrupt, probe, or gain unauthorized access to the site or its systems; upload malware or other harmful code.

8. Intellectual Property

The site and its content, including text, logos, design, and layout, belong to Vertex or its licensors and are protected by copyright and trademark law. You may view and print pages for your own personal or internal business use. You may not copy, modify, or republish site content without our written permission. You keep ownership of the content you submit, and you give us permission to use it to provide our services as described in the Privacy Policy.

9. Third-Party Links

The site may link to third-party websites or use third-party tools. We do not control them and are not responsible for their content, practices, or availability. Your use of them is at your own risk and subject to their own terms.

10. Disclaimer

The site and our services are provided “as is” and “as available.” To the fullest extent permitted by law, we make no warranties, express or implied, including about accuracy, availability, fitness for a particular purpose, or that the site will be error-free or secure.

11. Limitation of Liability

To the fullest extent permitted by law, Vertex and its directors, officers, employees, and contractors are not liable for indirect, incidental, consequential, or punitive damages, or for loss of profit, revenue, data, or business opportunities, even if we were advised they were possible. Our total liability for any claim relating to the site is limited to the greater of $100 or the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You agree to indemnify and hold Vertex harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the site, or content you submit that infringes someone’s rights or violates the law.

13. Termination

We may suspend or end your access to the site or our services at any time, without notice, if you breach these Terms or if we need to for legal or security reasons. You may stop using the site at any time, and you may ask us to delete your information as described in the Privacy Policy. Sections that by their nature should continue, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law, remain in effect after termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction over any dispute arising from these Terms or the site, and you submit to their jurisdiction.

15. Changes

We may update these Terms from time to time. The “Last reviewed” date above shows when they were last checked. Continued use of the site after a change means you accept the updated Terms. We will review them at least once a year and whenever we add a new service or tool.
